Company formation · all 50 states

An LLC or C-corp in any state, with the first year already planned.

Formation is the easy part. The EIN without an SSN, the bank document set, the registered agent, the operating agreement and the calendar of what is due in year one are where new companies go wrong. One fixed price covers all of it, quoted in writing before we start.

    What the fixed price includes

    Structure and state

Which entity and which state, decided from your facts: where you live, whether you will raise money, where the work happens, and what it costs to keep each year.

    Filing and name

Name availability, the articles filed with the Secretary of State, the certificate returned to you, and a registered agent in that state.

    EIN and documents

The EIN from the IRS, with or without an SSN, an operating agreement or bylaws, and the document set banks ask for, in the order they ask for it.

    Year one, calendared

State annual report or franchise tax, registered agent renewal, Form 5472 for foreign-owned LLCs, licences and permits where your activity needs them, and BOI reporting where it still applies.

Bank account guidance for Mercury, Relay, Wise and traditional banks, and a virtual US address where you need one, are part of the same engagement.

    Three states cover most founders

    • Wyoming. About $100 to form, $60 minimum yearly, owners not on the public record, familiar to every bank and platform.
    • Delaware. $110 to form, a flat $300 every June 1, the state investors expect if you will raise US venture money.
    • New Mexico. $50 to form and nothing yearly, the lowest carrying cost, slightly less familiar to some banks.

    Questions founders ask

Which state should I form in?

For a founder with no US operations: Wyoming for familiarity and privacy, New Mexico for the lowest carrying cost, Delaware if you will raise US venture money. Anyone with a US office, staff or inventory forms where the business actually operates, whatever the formation sites say.

    LLC or C-corp?

An LLC for a solo founder or a small partnership: simpler, no corporate tax layer, and the S-corp election is available later for US owners. A Delaware C-corp when you are raising from US investors, who expect it, accepting the 21% corporate tax and the extra return.

Can you get the EIN if I have no SSN?

Yes, by fax or phone with the IRS, listed as your third-party designee so we receive the number and chase it if it stalls. It is free from the IRS; we charge only for the time.

    What happens after formation?

The first-year calendar: state annual report date, registered agent renewal, Form 5472 by April 15 if the owner is outside the US, the US income question settled in writing, and bookkeeping on the Micro plan from $99 a month if you want it. Year one is where LLCs quietly go wrong, so it is part of the price.
