Why Delaware books need a Delaware calendar
Clean books are only useful if they line up with what the state expects. Delaware has no state sales tax, personal income tax from 2.2% to 6.6% and a franchise tax (flat) of $300, due June 1. We build the chart of accounts and the month-end checklist around those facts, so the numbers are ready for whichever return comes next.
| Delaware at a glance | What applies | Notes |
|---|---|---|
| Personal income tax | Personal income tax from 2.2% to 6.6% | Graduated brackets (2025 table) |
| Corporate income tax | A 8.7% corporate income tax | Flat corporate rate (2026 table) |
| Sales tax | No state sales tax | No state sales tax |
| LLC fees | Formation $110; A franchise tax (flat) of $300, due June 1 | No annual report for LLCs; $300 annual tax due June 1, $200 penalty plus interest if late (revenue.delaware.gov) |
| Corporation fees | Formation $89; Annual report + franchise tax 50 + franchise tax, due March 1 | Franchise tax minimum $175 (authorised shares) or $400 (assumed par value); recalculate with the assumed par method to avoid large bills |
| S-corp election | Federal election recognised | Federal S election recognised; no separate state election; PTE election not required |
Figures checked 2026-09 against Delaware Division of Revenue and Delaware Division of Corporations. Rates and fees change; we confirm the current numbers for your entity before we quote.

What we watch for Delaware clients
Delaware is where investors expect a C-corp to live, and its Court of Chancery is the reason. For a small LLC the trade-off is the flat $300 franchise tax every June, plus a registered agent, whether or not the business earns anything. Corporations also file an annual report by March 1 and pay franchise tax that can be recalculated under the assumed par value method to avoid a shock bill.
With no state sales tax, the common Delaware error is the entity calendar: a franchise tax (flat) of $300, due June 1 slips when nobody owns it. Owner draws, loans between related entities and uncategorised transactions are the other three things we clean up most often. Nobody did anything wrong; there was simply never a monthly close.

Delaware questions people ask first
Do you handle Delaware sales tax?
Delaware has no state sales tax. If you sell into other states, we track nexus and file where required.
Do I keep my own QuickBooks or Xero subscription?
Yes. You own the file; we work inside it with accountant-level access, so you can see everything at any time.
Who does the work?
A dedicated bookkeeper on our Mumbai team does the daily and monthly work. A CPA in the team reviews the month-end close before reports go out.
Can you fix a messy file?
Yes. Clean-up and catch-up are quoted as a fixed project first, then you move to a monthly plan. Typical turnaround is two to four weeks.
Will the books be ready for my Delaware and federal returns?
That is the point of the monthly close. Year-end financials are tax-ready, and we can prepare the business return itself from $99.
How fast do you reply?
Within 8 hours, by email or phone, with one point of contact.
